INDEMNIFICATION
You agree to defend, indemnify and hold JobCompass.net harmless from and against any and all claims, damages, costs and expenses, including attorneys’ fees, arising from or related to your use of the Site.
MISCELLANEOUS
Unless otherwise specified, this Site and the Contents thereof are displayed solely for the purpose of promoting JobCompass.net’s products and services available in the United States and select foreign markets. This Site is controlled and operated by JobCompass.net from its offices in Saint Augustine, Florida.
This Agreement shall be construed in accordance with the laws of the State of Florida, without regard to any conflict of law provisions. Any dispute arising under this Agreement shall be resolved exclusively by the state and federal courts of the State of Florida, County of Saint Johns.
TERMINATION
This Agreement is effective unless and until terminated by either you or JobCompass.net. You may terminate this Agreement at any time. JobCompass.net also may terminate this Agreement at any time and may do so immediately without notice, and accordingly deny you access to the Site, if in JobCompass.net’s sole discretion you fail to comply with any term or provision of this Agreement. Upon any termination of this Agreement by either you or JobCompass.net, you must promptly destroy all materials downloaded or otherwise obtained from this Site, as well as all copies of such materials, whether made under the terms of this Agreement or otherwise.
INTELLECTUAL PROPERTY
All of the pictures, content, applications and data appearing in the JobCompass.net website are the property of JobCompass.net and may not be used without our written permission. The mark “JobCompass.net” and other identified trademarks are trademarks of JobCompass.net and may not be used without our permission.
JURISDICTION
These terms shall be governed by and construed and enforced in accordance with the laws of the State of Florida, excluding its laws relating to conflicts of laws.
WAIVER
No failure or delay of either party to exercise rights or remedies under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any rights or remedies preclude any further or other exercise of the same or any other rights or remedies.
SEVERABILITY
If any provisions of this Agreement is held invalid or unenforceable in any circumstances by a court of competent jurisdiction, the remainder of this Agreement and the application of such provisions in any other circumstances, and in any other jurisdiction, shall not be affected thereby.
